Terms of Service

Welcome to Application Universe Sdn Bhd. These Terms of Service ("Terms") govern your use of our software products, services, and solutions. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing and using the services provided by Application Universe Sdn Bhd (Company Registration No: 724485-W), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use our services.

These Terms apply to all users of our services, including but not limited to:

• Software products (MediaUniverse, STOP Systems, eSiteView)
• Custom software development services
• System integration services
• Technical support and maintenance

2. Services Description

Application Universe Sdn Bhd provides high-end software outsourcing services specializing in:

• Enterprise application development
• System integration
• Business application tools
• Cloud-based systems
• Workflow management systems
• Web and e-commerce applications
• Mobile application development

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to affected clients.

3. Use of Services

3.1 Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to use our services:

• In any way that violates any applicable Malaysian federal, state, or local law or regulation
• To transmit any unauthorized advertising or promotional material
• To impersonate or attempt to impersonate the Company or another user
• In any way that infringes upon the rights of others

3.2 User Responsibilities

Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account. You must immediately notify us of any unauthorized use of your account.

4. Intellectual Property Rights

4.1 Ownership

Unless otherwise specified in a separate agreement, all intellectual property rights in our products and services, including but not limited to software code, designs, logos, and documentation, remain the property of Application Universe Sdn Bhd.

4.2 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use our services for your internal business purposes.

4.3 Client Data

You retain all rights to your data. By using our services, you grant us a limited license to use, store, and process your data solely for the purpose of providing our services to you.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation shall survive the termination of these Terms.

Confidential information does not include information that:

• Is or becomes publicly available through no breach of these Terms
• Was rightfully known prior to disclosure
• Is independently developed without use of confidential information
• Is required to be disclosed by law

6. Payment Terms

Payment terms are as specified in individual project agreements or quotations. Unless otherwise agreed:

• All fees are quoted in Malaysian Ringgit (RM)
• Payment is due within 30 days of invoice date
• Late payments may incur interest charges at 1.5% per month
• All fees are exclusive of applicable taxes

We reserve the right to suspend services for accounts with overdue payments exceeding 60 days.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Any warranties specific to individual products will be outlined in separate product documentation.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPLICATION UNIVERSE SDN BHD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claim arising from or related to these Terms shall not exceed the total amount paid by you for the services giving rise to the claim during the twelve (12) months preceding the claim.

9. Termination

Either party may terminate these Terms:

• Upon 30 days' written notice to the other party
• Immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within 14 days
• Immediately if the other party becomes insolvent or makes an assignment for the benefit of creditors

Upon termination, all licenses granted under these Terms shall immediately terminate, and you must cease all use of our services.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.

We are an MSC Status Company since 2006 and comply with all applicable Malaysian laws and regulations, including the Personal Data Protection Act 2010.
